The Executive Committee has received and inquired about complaints that Southern
Branch bands have not received adequate notice of the upcoming Southern Branch
General
Meeting referenced in John Partanen's e-mail message to President Andrew
Morrill, which
is copied below, verbatim and in its entirety.
The Executive Committee has also inquired into the claims made by John Partenen
that
adequate notice was provided to the Southern Branch bands.
Based on its own investigation, the Executive Committee has concluded that
reasonable
attempts were made to notify the Southern Branch bands of the upcoming meeting,
in
compliance with the applicable Bylaws. If a quorum of the Southern Branch bands
attend
and participate at this meeting, and the meeting is otherwise conducted in
accordance
with the Bylaws, actions taken at that meeting will be deemed to be in
compliance with the
Bylaws.
The Executive Committee encourages the Southern Branch to take an active role in
Association matters. The Executive Committee also hopes that the Southern Branch
members understand that, like the Southern Branch, the Executive Committee is
required
to act in accordance with the Bylaws of the Association, irrespective of any
"DEMAND" or
threat of "CONSEQUENCES".

ANDREW: I asked for notices to be posted regarding the Southern Branch AGM to
be held
at the Queen Mary Contests more than 60 days prior! As many members as possible
were
notofied by email in JANUARY 2007. There are a few email addresses posted
within the
WUSPBA info that are no longer valid, and other bands within the area where
these voids
have occurred have notofied these bands. In short, I do not believe there is a
single band
within the Southern Branch, or damn few solo members and contest sponsors that
do not
know there will be a Southern Branch AGM at the Queen Mary Contests, on Saturday
Feb.
17th.
I expect there will be more than 1/3 of the member bands present, (8 or more for
the
required quorum), unless there are other member bands that I'm not aware of
lobbying
other member bands NOT to attend the meeting, (and I have heard rumours of this,
and
can only wonder what in the HELL is in this member band's mind, unless they like
a
Southern Branch that is inactive and does nothing!!!). IF a quorum is present
at the
scheduled AGM, there will be a financial statement presented, and there will be
elections,
and the Southern Branch will return to active status! There will be NO OTHER
AGM's
scheduled, as suggested by the note in the announcement the WUSPBA has posted
regarding this meeting.
Personally, I find the note suggesting that this meeting is not to be recognized
as a
Southern Branch AGM counter-productive and devisive. I am shocked and
disappointed
that you and the Eexcutive Committee of the WUSPBA have taken this action.
THERE WILL
BE CONSEQUENCES! YOU AND THE REST OF THE EXECUTIVE COMMITTEE WILL NOT LIKE
THE CONSEQUENCES!
Given a quorum, there will be elections, and there will be DEMANDS that you and
the rest
of the WUSPBA Executive Committee recognize these elections. As previously
stated in
numerous emails to the Southern Branch member bands, nominations for the offices
will
be taken from the membership in attendance. These will be LEGAL elections,
given that a
quorum is present. If you and the rest of the WUSPBA Executive Committee choose
to NOT
recognize these legal elections, you and the rest of the Executive Committee
will be taking
ILLEGAL actions! (I hope I've made myself crystal clear regarding this matter!)
The most appropriate LEGAL actions for you and the WUSPBA Executive Committee to
take
are:
1) Remove the note from the WUSPBA website suggesting that the sceduled
meeting for
the Southern Branch is not an AGM immediately.
2) Post a further announcement that all member bands, solo members, and
contest
sponsors should attend the scheduled Southern Branch AGM to be held at the Queen
Mary
Contests Saturday, Feb 17th, 2007 following the band contests that day. Your
cooperation
is anticipated....
